Dangote Refinery IPO Closed: Allotment, Refunds and NGX Listing Next
Closing the offer did not give you shares: allotment needs SEC approval, refunds follow within five business days, and listing is only projected for December.

Introduction
Dangote Petroleum Refinery's IPO closed on 27 October 2026, but nobody has been allotted shares yet. The issuer says applications are now being checked, and the basis of allotment must be approved by the SEC before shares are credited to anyone.
This article walks you through what happens next if you applied: the dates, how a scale-back and refund work, and why the ₦525 offer price is not a promise about where the stock will trade. It also covers what to do if you missed the offer.
- Revised timetable: basis of allotment due at the SEC by 10 November 2026, with SEC no-objection and allotment targeted for 17 November.
- Refunds for rejected or scaled-back applications are due within five business days of the allotment date, with any accrued interest or profit.
- Shares should reach CSCS accounts within 15 business days of allotment; trading is projected for around 8 December, not guaranteed.
- Your payment receipt is not an allotment, and the ₦525 offer price may differ from the market price after listing.
Why the timetable changed, and why it matters to you
The original prospectus timetable had the offer closing on 13 October, the allotment proposal going to the SEC on 5 November and SEC no-objection on 11 November. That was overtaken by the 12 October extension notice, which moved the close to 27 October, the SEC submission to 10 November and the targeted SEC no-objection and allotment date to 17 November. Use the later dates. In practice, you are waiting roughly three weeks after closing for an answer on what you got.
The scale is why the process matters. The prospectus covers 4,100,000,000 ordinary shares at ₦525 each, a potential gross raise of ₦2.1525 trillion at the base offer size. The minimum subscription was 10 shares, or ₦5,250. The prospectus also lets the issuer absorb up to 30% of the offer in an oversubscription, subject to SEC approval.
What happens to your application, step by step
First, applications are checked. The issuer's post-close notices are blunt that a payment confirmation or application receipt does not confirm how many shares you will receive.
Dangote Petroleum Refinery's own notice is clear on this: "Payment confirmation does not confirm your final allotment."
Second, if the offer is oversubscribed, the issuer and issuing houses set a full-allotment threshold. Valid applications at or below it are filled in full. Larger applications are scaled back under an SEC-approved basis of allotment. The final formula has not been published.
Third, refunds. Rejected or scaled-back money, plus any accrued interest or profit, goes to the bank account you stated on your application within five business days of the allotment date. As a purely illustrative example, not a forecast: if you applied for 1,000 shares (₦525,000) and were allotted 600 shares (₦315,000), you would be due back ₦210,000 plus any interest. If allotment happens on 17 November, five business days points to about 24 November, ignoring public holidays.
Fourth, delivery. Successful applicants' CSCS accounts are to be credited no later than 15 business days after the allotment date. If you gave no valid CHN or CSCS details, shares may be held temporarily under a registrar identification number (RIN) until those are sorted out. Counting from 17 November, 15 business days lands on about 8 December, which matches the reported projected trading start.
Why ₦525 is not the listing price
The prospectus warns that the offer price may not match the post-listing market price, because trading is driven by supply, demand, sentiment and general market conditions. NGX Regulation Limited has said it does not set fair prices for issuers, adding that "the market price is expected to be appropriately corrected by the market forces of demand and supply". So allotment at ₦525 does not guarantee a gain, and it does not rule out a loss. We have no confirmed basis to forecast where it will open.
As of 4 November 2026 there is no official allotment announcement, final scale-back formula, final subscription total or final net proceeds from the issuer or SEC. There is also no official NGX admission bulletin or definitive listing date, so December is indicative only.
If you missed the offer
After listing, you will have to buy in the secondary market through an NGX-registered stockbroker or trading license holder, at the market price. Shares cannot be traded or transferred before listing, so ignore anyone claiming pre-IPO allocation or early trading. The SEC cautioned against fraudulent channels on 14 September 2026, after an earlier cease-and-desist notice dated 23 June 2026, and its guidance still applies:
Avoid transferring funds to any person or entity claiming to receive applications/subscriptions outside the approved channels.
Common mistakes
- Treating your payment receipt as proof of the shares you will get.
- Budgeting around the original 11 November SEC date instead of the revised 17 November target.
- Giving wrong or missing CHN/CSCS details, which can leave shares warehoused under a RIN.
- Paying anyone offering pre-listing shares or early trading.
